Atom Terms of Service (ATOS)

PLEASE READ THIS ATOM TERMS OF SERVICE AGREEMENT CAREFULLY, AS IT CONTAINS IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS AND REMEDIES INCLUDING CONSENT TO MANDATORY ARBITRATION FOR ANY DISPUTES ARISING OUT OF THIS AGREEMENT OR ANY SERVICE AGREEMENT.

Welcome to Atom, which is provided by Squadhelp LLC (collectively such entities will be referred to as “ Atom”, “we” or “us”). These Atom Terms of Service (“ATOS”)  (this “Agreement”) is entered into between you and Atom effective as of the date or your use of www.atom.com (the “ Website”) or the date of electronic acceptance. This Agreement governs your access to and use of the “ Website” as well as any and all content, functionality and services offered on or through the Website (collectively, the “ Services”).  Any agreements, arrangements and/or additional policies that apply to certain Services (" Services Agreements") and are in addition to (not in lieu of) this Agreement. In the event of a conflict between the provisions of a Services Agreement and the provisions of this Agreement, the provisions of the applicable Services Agreement shall control. We may amend this Agreement at any time by posting the amended terms on our Website.

By accessing, registering for or using the Services, you represent, warrant and covenant:

  • you are at least 18 years of age;
  • you agree to be bound by this Agreement, any applicable Service Agreement, and all Atom policies and guidelines referenced in this Agreement, an applicable Service Agreement or incorporated into this Agreement by reference;
  • you have the legal power and authority to enter this Agreement on behalf of yourself or the person or entity you represent; and
  • you will not abuse or misuse the Service or misrepresent your identity to us.

1. Definitions

“Atom”, “we”, “us”, “our” refer to Atom and its affiliates that provide the Services.

“You” or “Your” means the individual or entity using the Services.

“Services” means all products, websites, applications, and online or offline offerings provided by Atom, including without limitation creative contests, the Atom Marketplace, domain registration, DNS and forwarding, brokerage, portfolio management, and related services.

“Content” means all text, data, information, graphics, audio, video, and other material available through the Services.

“User Content” or “Member Content” refers to Content provided by a User or Member, including Entries, listings, messages, and feedback.

“User” means any person or entity that accesses or uses the Services, whether or not they have created an account.

“Member” means a User who has created an account with Atom to access or use any Service.

“Buyer” means a Member who purchases or requests goods or services through the Services, including those who host Contests, buy domains, or order creative or marketing work.

“Creative” means a Member who participates in a Contest by submitting an Entry in the Marketplace.

“Seller” means a Member who lists domain names, creative assets, or other property for sale in the Marketplace.

“Registrant” means a Member who registers, renews, transfers, or otherwise manages a Domain through our Domain Registration Services.

2. Your Agreement with Us; Order of Precedence

  1. Contracting Entity. Your agreement is with Atom.
  2. Binding Agreement. By using any Service, you agree to be bound by:
    • these Atom Terms of Service;
    • any Service Agreement or Addendum that applies to the specific Service you use; and
    • any Guidelines or policies that we publish on our Website and reference in those documents.
  3. Supplemental Terms for Specific Services. Certain Services are governed by one or more Service Agreements that include additional rights and responsibilities.
  4. Registration Services. If you register, renew, or transfer a Domain through us, your transaction is also subject to our Domain Registration Agreement and to all ICANN consensus policies and registry rules.

3. Acceptable Use

  1. General Obligation. You agree to use the Services lawfully, responsibly, and only for their intended purposes.
  2. Prohibited Conduct. You may not, directly or indirectly:
    • use the Services in any way that violates any law, regulation, or the rights of others;
    • upload, post, transmit, or otherwise make available any material that is unlawful, harmful, threatening, or otherwise objectionable;
    • infringe or misappropriate any Intellectual Property Right or trade secret;
    • send spam or any unsolicited messages;
    • upload or distribute malware, viruses, or any harmful code;
    • attempt to gain unauthorized access to the Services or another User’s account;
    • resell, sublicense, rent, lease, or otherwise make commercial use of the Services; and
    • cancel a Contest or transaction to use a Creative’s Entry or Domain without proper payment.

4. Payments, Credits, Taxes, and Refunds

  1. Payments. All payments for Services must be made through Atom’s authorized payment providers. By submitting payment information, you authorize Atom or its payment processor to charge the specified amount.
  2. Atom Credits.
    • Dollar Credits: Each Dollar Credit equals one (1) United States dollar.
    • Atom Credits: Non-cash credits redeemable only for specific features or services within the platform.
  3. Withdrawals. You may request a withdrawal of eligible Dollar Credits at any time through a supported method.
  4. Taxes. You are solely responsible for determining and satisfying all taxes, duties, and other assessments associated with your use of the Services.
  5. Refunds. Refunds are governed by Atom’s Refund Policy.

5. Intellectual Property

  1. Ownership of Atom Materials. Atom owns all Intellectual Property Rights in the Services.
  2. Your Content. You retain ownership of all Intellectual Property Rights in your User Content, granting Atom a worldwide license to use it.
  3. Contests and Intellectual Property Transfers. Ownership of Entries submitted to Contests and any transfer of Intellectual Property Rights from a Creative to a Buyer are governed by the Marketplace & Creative Services Addendum.

6. Privacy and Data Use

  1. Privacy Policy. Your use of the Services is subject to Atom’s Privacy Policy.
  2. Registration Data and ICANN Requirements. You acknowledge and agree that Atom must collect, process, and share your registration data as required by ICANN policies or applicable law.
  3. Data Retention. Atom retains personal data as necessary to fulfill its obligations.

7. Suspension and Termination

  1. Suspension of Services. Atom may suspend your User Account if it determines you have violated these ATOS.
  2. Termination. Atom may terminate your User Account or any Service at any time, without notice.
  3. Effect of Termination. Upon termination, any unused Atom Credits will be cancelled.

8. Disclaimers and Limitation of Liability

  1. NO WARRANTY. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
  2. Limitation of Liability. Atom and its affiliates will not be liable for any indirect damages of any kind.

9. Indemnification

You agree to indemnify, defend, and hold harmless Atom against any claims arising out of or relating to your use of the Services.

10. Dispute Resolution and Arbitration

  1. Agreement to Arbitrate. Any dispute between you and Atom will be resolved by final and binding arbitration.
  2. Opting Out of Arbitration. You may opt out of this agreement to arbitrate by sending Atom written notice within thirty (30) days.

11. General Terms

  1. Entire Agreement. These ATOS, together with any applicable Service Agreements, constitute the entire agreement.
  2. Amendments. Atom may amend these ATOS at any time.
  3. Notices. Any notice to Atom must be in writing and delivered to the specified address.

Acceptance and Effective Date
By clicking “I Agree,” creating an account, or continuing to use any Atom Service after being presented with these Atom Terms of Service (“ATOS”), you acknowledge that you have read, understood, and agree to be bound by them.
